This Professional Use Addendum (the “Addendum”) modifies and forms part of the Market Data Terms of Service Agreement (the “Agreement”). Capitalized terms not defined here have the meanings set out in the Agreement. This Addendum applies only to subscriptions expressly designated as Professional Use — Internal for data sets that do not require exchange entitlements; accordingly, no exchange entitlement processing, user classification, or exchange reporting is provided or required under this Addendum. If there is a conflict between this Addendum and the Agreement, this Addendum governs solely with respect to Professional Use. All other terms of the Agreement remain in effect.
This Addendum applies solely to Professional Use — Internal. Such use is limited to the internal business purposes of the subscribing legal entity and its wholly owned subsidiaries, including their employees and contractors acting on their behalf. All rights, title, and interest in and to the Data remain with Market Data and its licensors, and no ownership rights are conferred.
Market Data grants the subscribing entity a limited, non-exclusive, non-transferable license to access and use the Data for Professional Use. This license includes the right to redistribute the Data internally within the subscribing entity and its wholly owned subsidiaries, including to employees and individual contractors engaged in internal business operations.
The Professional Use license does not permit external redistribution of the Data under any circumstances. The Data may not be made available on public-facing websites, applications, or platforms accessible to clients, customers, or the general public. The Data may not be combined with other sources to create or offer a new product, feed, or service for distribution beyond the subscribing entity and its wholly owned subsidiaries.
Derived works such as analyses, charts, or reports that incorporate the Data may be shared externally only if the Data itself is not exposed in raw form and its inclusion is incidental to the analysis. No use of the Data may grant third parties, directly or indirectly, ongoing access. All restrictions in the Agreement remain in effect unless expressly modified by this Addendum.
Market Data may suspend or revoke the Professional Use license if the Data is used outside the permitted scope, including redistribution beyond the subscribing entity and its wholly owned subsidiaries. Termination under this Addendum may be immediate and without refund if the breach is material.
Upon termination, the subscribing entity must cease all internal redistribution and delete all copies of the Data in its possession, except where retention is required by applicable law. Continued use after termination constitutes unauthorized use and a material breach of the Agreement.
Termination under this Addendum does not affect Market Data’s right to terminate the Agreement as a whole under its terms. In the event of any conflict, the Agreement’s termination provisions continue to apply. All restrictions on redistribution and confidentiality obligations set forth in this Addendum survive termination. Market Data may request reasonable written confirmation from the subscribing entity that its use remains within the scope of this Addendum.
This Addendum forms part of the Agreement and modifies it solely with respect to Professional Use. In the event of a conflict, this Addendum controls, but only with respect to Professional Use. All other provisions of the Agreement remain unchanged and in full force.
